Job description:
- Manage Legal Department: recruit, mentor team members to ensure the continuous improvement, and implement Group policies, procedures.
- Provide legal support and prepare legal documentation for legal issues which relating to the operations of various local departments as well as the Archetype Group, including all the tasks relating to legal matters, contracts and proposals.
- Update, improve and ensure that all legal practices and procedures meet the standards established and expected of the Group and the local legal system.
- Present regular legal briefings to the company Directors and Managers.
- Translate, distribute and collaborate with various departments to ensure a clear understanding of legal requirements.
- Represent Archetype Group when interacting with relating parties on legal matters and negotiating with bad debtors.
- Improve and update standard contact conditions to reflect local laws.
Corporate Legal Counsel

Key Responsibilities
- Provide risk assessment and legal advice on corporate operations and project developments
- Handle regulatory matters, including governmental filings, licenses, approvals, permits and registration of group companies and projects
- Negotiate, review and draft contracts, corporate documents and other legal documents of the group companies
- Negotiate and draft real estate documents, including purchase and sale agreements, deposit and reservation agreements, long term lease agreements, etc. and monitor execution of these agreements
- Negotiate and resolve disputes with partners, customers, vendors and other parties as needed and handle numerous legal matters arising from hospitality operations
- Supervise and manage housekeeping matters of the group companies, including drafting shareholders’ and boards’ meeting minutes, resolutions and relevant secretarial documentation
- Research and update legal knowledge and new laws and regulations to the investment, development and operation teams and other teams, including corporate and real estate areas
- Work with other teams and outside counsels to handle deals from the beginning to the closing
- Draft and review transaction documents, NDA’s, LOI’s, MOU’s and other documents to support deals
- Join pre-litigation negotiation and mediation
- Co-ordinate with outside counsels during legal proceedings and monitor litigation or arbitration
Requirements
- University degree in Law
- Minimum 3 and preferable 5 years’ experience in commercial/corporate practice at a law firm and in-house;
- Understanding of foreign direct investments, hospitality business, mergers and acquisitions, corporate and commercial transactions
- Self-starter and self-motivator to take advantage of incentive structure;
- Strong oral and written communication skills
- Maintaining high level of confidentiality

Senior Investment Analyst

Key Responsibilities:
+ Conduct investment analysis for deal screening:
- Provide summary and analysis of target projects and/or companies
- Conduct in-depth market research on target market sectors
- Run investment models, including DCF, comparable sales and financial operational analysis
- Perform preliminary due diligence (technical, financial, legal)
- Assist in deal structuring
- Prepare term-sheet
+ Assist in investment acquisition:
- Prepare Investment Memo
- Liaise with service providers to complete Due Diligence (technical, financial, legal)
- Implement and monitor investment steps as stipulated in the investment agreement
- Provide company administrative duties when required (company set-up both on-shore and off-shore, bank accounts set-up, various company administration duties)
+ Provide post-investment management:
- Provide and review monthly/quarterly reports for projects under management
- Monitor and supervise activities of the project companies
- Interface between the board of directors and the management teams of the project companies
- Assist in providing management analysis (cashflow analysis, sales and development monitoring)
- Conduct site visits of projects under management (logistics and documents) when required
+ Provide updated research on macro-economics, relevant legal regulations, real estate market and the fund industry in both local and global markets
Requirements

We are looking for a team leader to ’Global Office Vietnam’ in Ho Chi Minh city, Vietnam. Your task will be the daily leading and further development of the office, who was established in 2014. We wish that the office will be the fulcrum for the internationalization projects of the company in south east Asia, including the bachelor degree in Architectural Technology and Construction, offered in cooperation with the Vietnamese partner institution. Furthermore, you should be able to develop the cooperative to Danish and international educational institutions so as to create common wagering for internationalisation and marketing of Danish educational offerings.
The office will help identify partner organizations in Southeast Asia, so that Danish educational institutions will be able to find relevant partners, as well promote Danish students’ opportunities for study and internship in the area.
The office has four local employees as well as students / interns.
