Overview of Position:
- As a Legal Manager, your most important role is leading and motivating a team of staff to ensure they’re giving the best legal advice and documentation support for other departments and the Boad of Directors as possible.
- You’ll also be expected to know company’s projects, project procedures and project development policy, to research guideline and policy of government on project development, and to be able to work with partners.
- This position will also manage and ensure regulations, procedures and legal standards of enterprise to be fully and correctly implemented by subsidiary companies; and ensure the project deployment steps to be efficiently carried out.
Job Scope
- Helping to build good government relations.
- Consulting legal issues to BOD.
- Setting up the apartment sale and purchase processes with customers.
- Accomplishing legal human resource objectives by recruiting, selecting, orienting, training, assigning, scheduling, coaching, and disciplining employees; establishing work objectives; planning, supervising, appraising, and reviewing job contributions; planning and reviewing benifit actions; complying policies and procedures.
- Determining legal consultancy supported requirements of BOD and other departments; researching projects status on the market; analyzing information of projects.
- Improving the quality of legal consultancy and document drafting by (i) establishing form, processes; (ii) studying, evaluating, and re-designing processes; (iii) establishing and discussing new laws and guideline of government; and (iv) analyzing results and implementing changes.
- Developing legal operation by (i) training courses; (ii) closely contacting with law firms; and (iii) populating form, processes and provisions of law to staffs of departments.
- Seeking and solving customers' complicated problems which may be been passed from customer service departments.
- Guiding staffs to keep documents of project and companies.
- Analyzing project data to determine the way of deploying projects and consult for Boad of Directors.
- Writing reports the legal schedule of projects.
- Establishing procedures to coordinate with project management unit.
- Meeting with other managers to discuss possible improvements to the operations of legal department.
- Training legal staff and other department staff to ensure companies operating in accordance with provisions of law.
- Leading or supervising a team of legal staff.
- Coordinating with other departments to plan and implement customer related programs.
- Drafting contract, agreement and other document to support other departments.
Skill Requirement
- Law research skills: legal manager has to seek and research new laws and consult for BOD in time. The change of law is effecting seriously to project development and a basis of BOD’ decisions on business strategy and investment, you consult in time so BOD can make a good decision. You should have an good analyzing and representative skill whether consulting by email or discussing in direction.
- Leadership Skills: legal manager will need to motivate the team, work with them to make sure they abide by all company policies and procedures.
- Patience: legal manager might have to deal with arising issues during working with government authorities. The patience will help you stay polite, clever in communication with competent persons in case of delaying license, being required to supplement documents more time or receiving other requirements.
- Carefulness and attention: You need to make sure that you do the work with high quality and exactly.
- Problem-Solving Skills: You will have to solve the issues, which are arising at any time, of other departments, companies and project. Problem-Solving Skills is important and will help your job.
- Ability to work both independently and as a team member under high pressure.
- Lawyer degree or master of law degree is a requirement.
- English language standard equivalent to IELTS 5.5 is preferred.
Experience Requirement
- At least 4 years experiences in legal related field.
- Experience in legal consultancy position in real estate business is the priority.
- Experience with law firm or real estate company experience is an added advantage.

Legal Counsel

Description
1. Legal advice: (independently take charge up to 70%)
• Conduct complex legal research and investigation of claims and defenses; develop oral and written advice and present recommendations to supply chain and operation.
• Provide legal counsel and advice on a broad range of legal topics for supply chain and operation to include international commercial law, import and export laws, incoterms, laws on customer protection, etc.
• Anticipate and mitigate potential legal issues and develop strategies/ initiatives to avoid costly litigation actions and reduce potential area of risks.
• Keep abreast of legislative changes.
2. Legal Compliance: (independently take charge up to 70%)
• Support to develop policies and procedures to ensure legal compliance and simplicity execution. As appropriate, contribute to or influence company policies and support in developing innovative solutions for difficult, complex, and systemic problems.
• Monitor transaction compliance ensuring LOIs/contracts/ legal documents are signed within the agreed timeline and due process.
• Monitor possible areas of compliance risks and implement corrective action plans for resolution of current and potential risk.
• Provide and interpret legal regulation, conduct training and disseminate appropriate legal requirements to relevant departments.
3. Contract management:
3.1 Contract Drafting, evaluating and negotiating: (independently take charge to 70%)
• Standardize template of contract/agreement/LOI and other legal documents tailored to each specific business activities to improve the efficiency and effectiveness of contract review Monitor competitive terms. Monitor customer satisfaction with our terms and conditions and contracting practices. Recommend changes.
• Analyze actual practice and potential risk to adjust the terms to make it suitable while still protects company at the best.
• Negotiate and advise on contractual matters or other business transactions for critical deal.
3.2 Contract reviewing/approving:
• Approve the contracts/annexes/LOI up to 2B VND (independently take charge up to 100%).
• Conduct the preliminary review of the remaining contracts. (Independently take charge to 70%).
3.3 Contract point: (independently take charge up to 100%)
• Attend weekly project meeting or other meetings to serve as the contact point for contractual matters.
• Guide on contracting guidelines or legal templates to support other departments/functions to follow the legal process.
4. Others:
• Legal innovation. (Independently take charge to 60%).
• Review and conduct (where necessary) the translation work (Independently take charge up to 100%).
• Support to provide training to other business teams related to assigned job. (Independently take charge up to 70%).

Qualifications
- Be qualified as a lawyer in Vietnam with good academic credentials and lawyer practicing certificate;
- Have at least 6 years’ relevant professional experience preferably as a lawyer in private practice or in a similar role working at MNC.
- Good command of spoken and written English and Vietnamese. IELTS overall band 6.5 or equivalent.
- Proficiency in Microsoft Office tools such as Word and PowerPoint.
- Being proactive, strong teamwork, customer service spirit and commercial oriented.
- Good communication and interpersonal skills across all levels of the organization and well-organization skill
- Be able to manage multiple priorities, work efficiently under pressure and consistently meet tight deadlines.
